Recursion Pharmaceuticals, Inc. (“Recursion”) hereby offers to you (“You”) a non-exclusive license to access this data (the “RxRx1 Dataset”). This license, which is based in part on the Montreal Data License, does not give You the right to sell the RxRx1 Dataset or to exclude others from using the RxRx1 Dataset. Your access to and use of the RxRx1 Dataset constitutes Your acceptance of the terms of this license agreement (“License”).
This License must always be affixed to the RxRx1 Dataset when it is distributed.
a. “Access” means to access, view and/or download the Data to view it and evaluate it.
b. “Data” means the informational content (individually or as a whole) made available by Recursion (also referred to as the RxRx1 Dataset).
c. “Model” means machine-learning or artificial-intelligence based algorithms, or assemblies thereof that, in combination with different techniques, may be used to obtain certain results. Without limitation, such results can be insights on past data patterns, predictions on future trends or more abstract results.
d. “Output” means the results of operating a Trained Model as embodied in informational content resulting therefrom.
e. “Representation” means a Model that mimics the effects of the Data, but does not contain any individual data points or allow third parties to infer individual data points with currently existing technology.
f. “Train” means to expose an Untrained Model to the Data in order to adjust the weights, hyperparameters and/or structure thereof.
g. “Trained Model” means a Model that is exposed to Data such that its weights, parameters and architecture embody insights from the Data.
h. “Untrained Model” means a Model that is conceived and reduced to practice as to its structure, components and architecture but that has not been trained on Data such that its weights, parameters and architecture do not embody insights from the Data.
a. Recursion provides the RxRx1 Dataset as is, as available, and without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Recursion shall not be liable for any claim or damages in an action of tort, contract or otherwise, relating to the use of the RxRx1 Dataset.
b. Recursion owns the copyright to the RxRx1 Dataset. You agree to include Recursion’s copyright notice and this permission notice on any copies You make of the entire, or substantial portions of, the RxRx1 Dataset. You may not use Recursion’s trademarks, trade names or logos to suggest endorsement or misrepresent the relationship between Recursion and You.
c. You will use the RxRx1 Dataset for non-commercial research and/or educational purposes (including non-commercial research by a commercial entity) only.
d. You understand that this License to the RxRx1 Dataset is nonexclusive, worldwide and that it can be revoked or modified by Recursion at any time by written notice to You. This License shall be terminated upon any breach by You of the terms of the License.
e. You agree that if You will use the RxRx1 Dataset in Your capacity as an employee, independent contractor or other service provider of a non-profit or for-profit organization (“the Employer”), prior to executing this License You will seek the permission of the Employer to enter into this License, and will then execute this License on behalf of the Employer, or, if You are not authorized to enter into this License on behalf of the Employer, You will have the Employer enter into this License directly.
f. You shall defend and indemnify Recursion, its employees, officers and agents, against any and all claims arising from Your negligent or intentionally wrongful actions relating to the use of the RxRx1 Dataset.
g. This license shall be governed by and its terms interpreted under the laws of the state of Utah.
a. Recursion grants the following rights to You with respect to making use of the Data itself: You may Access the Data (without exposing Untrained Models to it)
ii. You may create Tagged Data
iii.You may create a Representation of the Data
iv. You may distribute the Data to third parties
b. Recursion grants the following rights to You with respect to making use of the Data in conjunction with Models:
i. Access the Data, use the Data as training data to evaluate the efficiency of different Untrained Models, algorithms and structures, but not to reuse the Trained Model, except to show the results of the Training.
ii. Use the Data to measure the performance of a Trained or Untrained Model, but not the right to carry-over weights, code or architecture or implement any modifications resulting from the Evaluation.
iii. Access the Data and to use the Data to create or improve Models, but not to use the Output or resulting Trained Model for any purpose other than evaluating the Model Research under the same terms.
iv. Make available to third parties the Models resulting from Research, provided that any such third parties accessing the Trained Models will have the right to use them for Research or Publication only.
v. You do not have the right to Output Commercialization or Model Commercialization in relation to the Data.
